Spiegel & McDiarmid LLP Helps Clients Acquire Joint Ownership of Dogwood Generating Facility

Spiegel & McDiarmid LLP attorneys Margaret McGoldrick and Anjali Patel assisted the City of Independence, Missouri, Kansas Power Pool, and the Missouri Joint Municipal Electric Utility Commission in diversifying their energy portfolios and purchasing over one quarter of the ownership shares* in a natural-gas-fired combined cycle generating facility in Cass County, Missouri.  Spiegel & McDiarmid advised and assisted in negotiating the individual asset purchase agreements, the joint ownership and project management agreements, operating protocols, and energy management agreement.  The transaction transitions Dogwood Energy Facility from a single-owner merchant plant into a joint ownership model which accounts for the unique financing, tax and public obligations of load-serving, public power entities.
